1. Introduction

Welcome to EA Directory, owned and operated by WPfoss Limited (“we”, “us”, “our”). These Terms of Service (“Terms”) govern your use of our website, platform, and services (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms and by our Privacy Policy.

2. Definitions

• User or You: Any individual or entity using the Service, either as a small business owner (“SME”) or an accountant/CPA listed with us.
• CPA: A certified public accountant or equivalent who provides accounting services via our platform.
• Service: The matchmaking, listing, document workflow, reviews, digital tools, and any associated features we provide on www.eadirectory.com

3. Eligibility

You must be at least 18 years of age and have legal capacity to enter contracts. If you are using an account on behalf of a business, you must be authorised to bind that business.

4. Account Registration & CPA Verification

• CPAs seeking to list must provide valid certification (ICPAK, EA, etc.), identity verification, and accept our Code of Conduct.
• We reserve the right to refuse or remove listings for CPAs who do not meet our verification or quality standards.

5. Service Usage

• Users may use the platform to find, engage, or list CPAs.
• SMEs must complete onboarding forms, supply required documents, and upload materials as needed.
• CPAs agree to deliver services as per scope, timeline, and quality stipulated in engagement contracts.

6. Payment & Fees

• Our pricing, payment terms, and any service fees are as set out on the platform.
• All payments are processed through approved payment channels (Mpesa, bank transfer, card).
• For CPAs: listing fees, service commissions, or subscription charges as per selected tier.
• For SMEs: fees for accounting, bookkeeping, or other services are agreed in advance.

7. Intellectual Property

• All content, SOPs, templates, folder structures, tools, images, brand elements, are owned by WPfoss Limited or licensed to us.
• Users (SMEs or CPAs) granted limited license to use these materials only for their engagements via EA Directory.

8. Liability & Disclaimers

• We provide the Service “as is” without warranties of any kind.
• We are not liable for indirect or consequential damages arising from your use of the platform.
• CPAs are independent contractors. While we verify and monitor quality, we are not liable for professional advice given by any listed CPA.
• SMEs are responsible for providing accurate and complete information.

9. Dispute Resolution & Refunds

• Any disputes between users and CPAs should first be raised via our internal dispute resolution process.
• If Service fails to deliver per agreed scope, SMEs may request adjustments or refunds per the refund policy.

10. Suspension or Termination

• We may suspend or terminate accounts or access for violation of these Terms, misuse, fraudulent activity, or non-payment.
• Users upon termination still bound by Liability, Intellectual Property, and Dispute Resolution sections.

11. Changes to Terms

• We may revise these Terms from time to time. We will notify users of material changes via notice on the site. Continued use after changes implies acceptance.

12. Governing Law

• These Terms are governed by the laws of Kenya.
• Any legal action or proceedings relating to these Terms will take place in Kenyan courts.
